How SaaS GCs Should Review AI Vendor Agreements

As a general counsel at a SaaS company, you are already fluent in traditional SaaS agreements: uptime, SLAs, DPAs, and IP clauses are your daily bread. But generative AI vendor agreements are not just another flavor of SaaS, and treating them that way can leave your company exposed on data use, IP ownership, model performance, and regulatory risk. This article discusses issues SaaS GCs can consider when reviewing AI vendor contracts and highlights common pressure points to evaluate before signing.

1. Start with use cases and risk mapping

Before you touch the AI vendor’s paper, inventory how your company is actually using (or plans to use) AI. Here is a sample risk-taxonomy for common use cases:

  • Internal, lower‑risk use (for example, content drafts, code suggestions without production data)

  • Internal, higher‑risk use (for example, HR tools, meeting recording/transcription, analytics on customer conversations)

  • External, higher‑risk use (for example, customer‑facing chatbots, fraud detection, AI features embedded in your SaaS product)

Each use case can carry a different profile for privacy, IP, bias, and security risk. Your contract positions—especially on data rights, retention, and indemnities—tend to be more effective when they match that risk profile instead of defaulting to whatever appears in the template.

2. Treat data rights as a cluster, not a single clause

AI systems can interact with multiple categories of data: inputs/prompts, outputs, training and fine‑tuning data, retrieval‑augmented data, synthetic data, and observation/usage data. Traditional SaaS assumptions (for example, “vendor can use aggregated usage data”) do not map neatly to this stack.

When reviewing AI vendor terms, SaaS GCs often:

  • Separate rights to inputs from rights to outputs, training data, and observation data.

  • Limit any license to customer data to what is reasonably necessary to provide the service, rather than an open‑ended right to train models for other customers.

  • Clarify what happens to fine‑tuned models and synthetic data at termination and whether they can be traced back to confidential information.

For regulated or sensitive data, it is also common to look for an appropriate DPA or BAA and to scrutinize “aggregated” or “anonymized” carve‑outs so that they do not quietly re‑open training or third‑party sharing.

3. Rethink performance and SLAs for probabilistic systems

AI systems are probabilistic: the same prompt can generate different outputs, models can drift over time, and hallucinations are an inherent risk. A 99.9% uptime SLA is not very helpful if the model is consistently inaccurate for your use case.

In AI vendor agreements, consider:

  • How performance and accuracy are described for your use case, including acceptable variance, error rates, and human review expectations.

  • Whether the vendor commits to monitoring for drift, bias, and hallucinations, and what documentation or remediation is offered if these issues appear.

  • What support is available when the model is technically “available” but fails to meet your quality or compliance thresholds.

For customer‑facing AI features in a SaaS product, some companies look for incident‑style commitments around material model failures, not just infrastructure outages.

4. Align IP, ownership, and feedback terms with your roadmap

Many AI vendor templates grant themselves broad, long‑lasting licenses to customer inputs, outputs, and feedback. For SaaS companies, that can create tension with confidentiality obligations, export‑control concerns, and product strategy.

In practice, SaaS GCs frequently:

  • Preserve ownership of customer content and avoid perpetual, transferrable licenses that survive termination unless they are narrowly scoped.

  • Clarify whether any fine‑tuned models or configurations are exclusive to the company or can be reused.

  • Narrow feedback licenses so they do not inadvertently allow reuse of sensitive scenarios, prompts, or workflows.

5. Right‑size indemnity, security, and third‑party sharing

AI tools often rely on multiple subprocessors and third‑party providers. Overbroad indemnities that cover “any use of the services” can be especially sensitive when tools record calls, process biometric data, or power consequential decision‑making.

Key questions for GCs include:

  • Whether indemnity is tied to misuse and clear breaches, or to any claim “related to” use of the service.

  • Whether the vendor can share recordings, prompts, or outputs with analytics or support providers without your approval.

  • Whether security controls and audit rights reflect the sensitivity and geography of the data you plan to put into the tool.
